How decisions are made
The Foundation's governance rules are recorded in its bylaws and a formal governance configuration. The summary below reflects the current, adopted rules.

Conflict of interest & recusal
Directors and officers disclose conflicts annually and recuse themselves from any decision where they have a material financial interest. Recusals are recorded in the minutes and in the vote tallies of every resolution.
Two-person controls
Sensitive financial and governance actions require an independent initiator and approver. No single person can both initiate and approve a controlled action. Separation of duties is enforced for fund transfers, journal entries, expenses, and governance changes.
